By placing an order with Online Bizness Group Ltd,
(Online Bizness Group)

You, the client, agree to the following terms & conditions:

“Orders” are defined as any agreement entered into with Online Bizness Group in which money is exchanged for products or services being rendered by Online Bizness Group Ltd. In the case of web design or app development projects, a document referred to as a “contract” is provided to you and once finalized, is signed off on by you, the customer. A link and reference to the terms and conditions below is contained within all contract documents.

1. Turnaround Time | Delivery


Online Bizness Group and the client must work together to complete the (website and/or app) development project project in a timely manner. We agree to work expeditiously to complete the (website and/or app) development project before or within the time-frame decided upon and outlined within the “signed contract” document.

Our consultants will often issue a turnaround time in the contract itself. The time-frame issued can vary from weeks to months, depending on the size and difficulty of the project. Time-frame estimates that are issued upon the delivery of the signed contract strongly depend upon the involvement of the customer and their interaction. Contextual items (text, pictures, videos, logos and other files) in many situations can only be rendered by the customer and may be required in order to complete a project within the time which has been estimated.

Furthermore upon the delivery of a “development link” the estimated time anticipates no revisions as we are providing you with a completed project, per the signed contract, pending any revisions which you may have which our team will execute should they be needed. Extended revisions or additional time in which the client needs to formally produce revisions can greatly affect the time of completion. Additional work which is not initially included in the signed contract can also extend the turnaround of a project.

Thus it is important to specifically note that:

  • Turnaround times are educated estimates, not guarantees
  • The turnaround time is based on the development link delivery
  • Client interaction is required to stay within expected turnaround time-frames

It must be specifically noted that Online Bizness Group is not obligated to fulfill work within any pre-determined time period. We understand the importance of developing projects on time to assist clients with their goals and deadlines and have proved, time and time again, in our ability to deliver projects in a timely manner however all dates issued are goals or estimates in which we anticipate work being completed within. Dates strongly require the interaction of the client as outlined above.

In the event that a client is unable to provide us with the necessary materials or content for a website, Online Bizness Group holds the right to place “filler content” in the website to push the process along if possible. Our team works with clients in a very customized and complete manner. We will offer all possible assistance in the development of content and advice so that a project can be completed the correct way.

Online Bizness Group makes all clients aware that the “development phase” of any project does not begin until all “required” content has been collected and or generated. Required content items are specified by your Project Manager after the purchase of your (website and/or app) development project. Without content there is no substance or design element to base the construction around, thus, it is extremely important. Online Bizness Group does however continue to work during this time-frame on graphical items, internal planning, and other items involving the construction of the project. Therefore, NO TIME PERIOD after the “date of sale” and “date of signed contract delivery” is considered lost time. Multiple items both tangible and intangible are required to bring a project to completion.

2.0 Sale Terms | Project Termination

All sales are final. Regardless of the project size, phases, project staging, payment arrangement, finance option, project success, or payment method, the full balance is considered owed upon signing the contract.

The method of payment is outlined specifically in the signed contract document and all remaining balances which may be owed will be charged utilizing that payment method unless we are specifically informed otherwise in writing. Clients working with Online Bizness Group also understand the delivery of the final payment is often due at the delivery of the development link, or as specifically noted in the signed contract. As an act of good customer service, Online Bizness Group continuously reminds clients of their payment due date by means of status update emails.

Online Bizness Group issues multiple notices throughout the process, making you aware of the balance due, what payment method will be used to capture it, and when you should expect it to be charged.

Project termination and our agreement fulfillment is reached upon full completion of the project. This involves Online Bizness Group producing the project, as per the signed contract, then offering the purchasing client a revisions phase in which revisions (as defined below) are offered and executed. Project satisfaction and proof of delivery is obtained via our receipt of the signed release form which all customers are required to sign off on to fully release the website live or to be considered complete and ready to be live upon your request.

2.1 Inactive Projects

At times, Online Bizness Group clients become unresponsive or fail to provide us with the required interaction needed to complete a project. This typically involves items such as:

  • Failure to provide us content
  • Failure to provide any revisions or feedback
  • Unable to communicate (bad phone / email)

Online Bizness Group‘s inactive-project-policy is as follows:

Our team will attempt to contact you both over the phone and in writing multiple times for courtesy reminders as to what our requirement may be. Should we fail to communicate with you or be unable to obtain the required material as listed above within a 60 day time-frame starting from the date of request, we withhold the right to mark a project as inactive.

Inactive projects are subject to a one-time £100.00 fee to become active again. This penalty is in place due to our strategic planning and development cycle process which is broken should the project undergo negligence on your behalf. Upon payment, the project will be activated and resumed where it had left off.

Online Bizness Group cares about each and every client and attempts to professionally resolve any matter. Communication is key to avoiding inactivity. Furthermore it should be specifically stated that any balance owed at the time a project becomes inactive is still considered due and payable, regardless of which phase the project may be in. Please see section 2.0 (all sales are final).

2.2 Maintenance Required Websites

Online Bizness Group offers some services that are bundled as a software-as-a-service alongside other components necessary to keep a project up and running. Specifically, projects like informational style websites that have a flat monthly fee (typically £120) as opposed to our traditional payment terms noted below, require maintenance agreements as specified in each contract. These agreements require a minimum of a 1 year term. These maintenance programs start immediately, binding the purchaser to a 1-year contract (12 payments, or other – as per the contract specification) and then become month-to-month as an ongoing maintenance fee for the design, hosting, and marketing services indicated. Service on these contracts is required to retain an active website. Cancellation is allowed after (12) completed payments if the website is no longer needed. Should a subscribing client opt to want to cancel the service or request FTP access, database access, or full unrestricted website admin panel access, a £300 buyout clause will apply. Upon successful payment, such access will be released if needed. Upon (4) calendar years from the date of contract signature, websites falling under these terms are available for a 100% re-design and re-development in which a new contract can be executed to refresh the website accordingly. Each project is subject to their own specific terms found in the contract.

2.3 Dating Package Projects

Online Bizness Group offers dating packages (involving web development, app development, or both) that utilize some of our pre-existing code infrastructure. Clients electing to purchase pre-packaged code are often able to save thousands of pounds in initial development costs, and thus, develop a minimum viable product as specified in each contract for what amounts to pennies on the pound versus full custom development. Maintenance and ongoing monthly payment requirements for dating projects, like any project, have specifications for the price and term in each contract. Should no term be explicitly stated, all dating package projects require a 1-year contract (12 payments, or other – as per the contract specification) and then become month-to-month. Online Bizness Group‘s dating package options (iOS, Android, and web) are not open-source coding frameworks available to the public. Under no exception shall source code be issued to the purchasing client without a 1-time buyout of £10,000 for any such website or app. Therefore, work by third-party individuals or companies, sharing access via Git, FTP, or any other method, is not possible. This is contrary to all other project types as per our terms and conditions as a whole.

In the event the dating company opts to part ways with Online Bizness Group, they may elect to do so independently without any use of code (thus abandoning the product they have built provided the 1 year term has been finished), or they can pay the specified £10,000 buyout as noted. This buyout is inclusive, meaning, regardless if the end-client purchased just an iOS app, an Android app, a website, or all of the above, the buyout total remains fixed, regardless of additions or duration of ownership of the product. All branding associated within the dating project (logos, content, etc…) remain subject to trademark and copyright laws, and are owned by the purchasing client. The member database (profiles associated with the dating project who have registered) is also data owned by the purchasing client, not Online Bizness Group, since the independent business who purchased the product is the rightful owner of the business. The software that is being utilized to power the business is simply leased rather than owned without the buyout as stated. In some cases, as specified in each contract, popular websites and apps with larger databases are subject to increases in their hosting/maintenance fees.

3.0 Finance Options

Finance options are available through Online Bizness Group during certain time periods however no guarantee is issued as to when financing may or may not be available. Online Bizness Group‘s finance packages involve a no-credit-check process in which the client is fully obligated to pay a full balance, plus a convenience interest on the amount stated. The current finance plans offered by Online Bizness Group are as follows, though subject to change at any time:

  • 50% down | 50% at delivery of development link (normal payment structure)
  • Milestone based payments

Regardless of the turnaround time of the delivered services or the financial or goal status set forth by the financing party, the full amount is owed. In the event an early payoff is desired, all remaining payments are still due. Furthermore, it should be noted that any website under a finance policy is NOT owned by the party financing the website until 100% payment has been collected.

4.0 Hosting

All websites and most mobile applications require hosting. While the vast majority of clients do host with Online Bizness Group, the company does not require clients to purchase hosting through Online Bizness Group unless the contract specifies that a maintenance or hosting package be required, the project is being financed, or the project still has a balance due. Our team holds the right to retain all files on our hosting platform until full payment has been made should the client elect to host the website and/or app independently. If an independent host is selected, the client agrees to provide Online Bizness Group with all required access that is needed to fully test, upload, and manage the website itself. This usually involves both database access and FTP access. Costs may be applicable for some situations in which Online Bizness Group needs to upload a website or mobile app to a third party host.

Clients working with Online Bizness Group that have elected our hosting service understand that hosting begins immediately upon purchase. Hosting is required to establish items such as placeholder pages, email accounts, and development related files. Hosting agreements are outlined as part of the signed contract document and are month-to-month arrangements, unless otherwise specified in the contract.

4.1. Hosting Cancellations

If for any reason a client decides to cancel any one of our month to month, no contract hosting packages, full ownership of the website and all of its files are turned over to the original client should the website be paid in full per the signed contract. The website can only be issued to the original client or authorized signing party (associated with billing) and not another web or app development company without the express written consent by the authorized owner. All final amounts owed to Online Bizness Group for hosting will be paid the day the request to cancel has been placed and the website will be downloaded, backed up, and then forwarded to the client VIA email, direct download link, or (thumb drive), depending on the size of the website or app.

Online Bizness Group is not responsible for any down time or loss of business due to the transfer of the website and/or app to another party, nor is Online Bizness Group responsible for hosting stability and business warranty due to hosting stability. Clients enter into a separate agreement with Online Bizness Group Ltd for hosting and no guarantees on hosting are provided. Transferring and setup on 3rd party hosts is not our responsibility and is subject to additional charges.

5.0 Revisions Process

Upon the completion of the (website and/or app) development project and delivery of the development link Online Bizness Group allows for 1 full round of revisions from the customer. Revisions are defined as minor in scope and consist of items such as but not limited to: contextual changes, image changes, and minor visual adjustments. Items that are not considered revisions are adjustments such as: new pages, new app screens, new functionality, complete re-working of content, changes in the layout of a page, switching to an entirely new design concept, complete color scheme changes, website sizing / pixel changes which adjust the width of a page, or any other deep structure related adjustments. Significant requests for revisions are classified as additions and are quoted out during the revisions confirmation cycle.

Often times, Online Bizness Group will proceed with a (website and/or app) development project using “latin filler text” in order to make it a viewable / tangible product. At the completion of the project per the signed contract, we accept content to replace the filler text during the revisions phase. Items which are requested beyond the clients complete review of the website (revisions) may be considered billable. We will quote the additional adjustments or additions and bill as noted above. In good faith, our team does allow for additional minor modifications prior to releasing the website live should revisions beyond the initial set be required.

Revisions are required to be submitted in writing (via email) using the instructions we provide you. Our project management team will confirm revisions and discuss details by phone as necessary. Online Bizness Group also practices lenience in allowing for minor tweaks and revisions beyond the initial set.

6.0 Price Match Policy

Online Bizness Group is willing to match the quoted price of any UK based company which employs a staff of more than 3 individuals if a contract can be drafted and provided by that company offering the same services. Online Bizness Group holds the first right of refusal to price match any offer if we determine that the offer may be fraudulent, inaccurate, or not meet the expectations anticipated in a contract. Our Price Match policy issues a match of the quote issued plus an additional 10% off the difference between our quote and the quote provided for the same services. The price-match policy must be taken advantage of prior to purchase.

7.0 Free SEO

Any website that is built by and hosted by DreamCo Design qualifies for free basic search engine optimization. This includes: title tags, description tags, meta-keywords, manual submission to the major search engines as determined by us, and sitemap generation. At times, Online Bizness Group may opt to also do ALT tags for websites. No additional SEO service is offered with the FREE SEO provided as a benefit to clients. Therefore, these items should not be confused with our additional marketing options. Mobile applications will also have their initial meta-data, keywords, naming, and icon set generated when being submitted to the iOS App Store or Android Store.

8.0 Quotations/Estimates

Prices posted on this website are subject to change without notice. Written estimates are good for 30 days. An estimate not accepted within 30 days may be changed. All pricing issued in the “signed contract” is exactly what the client will pay for services. We DO NOT bill by the hour nor do we “tack on” additional fees for the work defined.

9.0 Order Refusal | Copyright

Online Bizness Group Ltd reserves the right to use its sole discretion in refusing to print or produce any website it deems improper or known to be illegal. Online Bizness Group is not liable for any damages resulting from unwitting violation of copyright laws or illegal use of trade names or slogans. The client guarantees the legal title of all matter submitted to Online Bizness Group for printing and/or web and app publication. Web and app development work done by our company, Online Bizness Group Ltd, is also owned by the paying client. The client is responsible for all and any content posted on the website regardless of which party gathered it. We are not responsible for any copyright or trademark infringement since all services rendered by Online Bizness Group Ltd are for the purchasing party. Any information sent to us such as images, videos, text, and all other forms of content, is considered “legit” and will be utilized on the website and/or app project. This also remains true for any artwork selected by any member of our design team. In the action of our company implementing graphics or text we will strive but not guarantee that all items placed are 100% copyright “OKed” and the client will always be responsible for any content on his or her website or app project. Online Bizness Group also holds the right to re-use any programming constructed by our party along with any content which was generated by our team.

10.0 Liability

Online Bizness Group‘s liability shall be limited to the stated selling price to the customer of any defective goods, and shall in no event include special, consequential, incidental, indirect or similar damages, including without limitation, lost profits. Online Bizness Group warrants that every product manufactured by it meets industry standard for such product and is free of any material defect in workmanship. IT IS EXPRESSLY AGREED THAT THIS WARRANTY IS IN LIEU OF ALL WARRANTIES OF FITNESS FOR PARTICULAR USE AND MERCHANTABILITY. Online Bizness Group makes no other warranty and no actions or words of Online Bizness Group or its officers, employees or agents shall constitute a warranty. We do however guarantee that all web and app development work that we complete will operate as outlined in the signed contract (or as revised during revisions) as long as the project is hosted on our servers and no FTP information is owned by the client which allows product manipulation.

Should the client request FTP access of their website and/or app, a release form is first signed off on by the client and access is given. All modifications, changes, stability, and features are then the responsibility of the client.

Furthermore, Online Bizness Group Ltd cannot and will not be held responsible or take on any liability for any website and/or app construction that does not meet local or county laws or that falls under a malicious attack such as a computer hack. All data, web programming, features, functionality, design, and construction becomes owned by the client at the time of sign off. Our company is not responsible for any stolen information gained by a hacker on a website we have built and delivered to a client. Online Bizness Group is also not responsible for any down time or loss of business due to the development time needed to produce the agreed upon product.

11.0 Indemnification

In the event that a charge, claim or demand, or arbitration, action or proceeding (collectively, a “Claim”) is made or commenced against Online Bizness Group based upon, relating to or arising from the alleged wrongful acts of the customers, or alleging that the web (and/or) app development, marketing, hosting, or printing performed or product produced by Online Bizness Group ordered by the customer: (a.) infringes any copyright, patent or other proprietary right of any person; or (b.) contains matter that is libelous, slanderous, defamatory, scandalous or obscene, the customer shall indemnify and hold Online Bizness Group harmless from and against any loss, damages, cost and expense arising from or related to the Claim including without limitation; (1.) defending Online Bizness Group against any such Claim (2.) paying any judgment or award against the customer; and (3.) reimbursing Online Bizness Group for any legal fees and expenses it reasonably incurs in responding.

12.0 Electronic Manuscripts/Images

It is the client’s responsibility to maintain a copy of the original computer files, artwork and transparencies. Online Bizness Group is not responsible for accidental loss or damage to media supplied by the client or for errors on supplied artwork furnished by the client. Until Online Bizness Group can evaluate digital input, no claims or promises are made about our ability to work with jobs submitted in digital format, and no liability is assumed for problems that may arise. Any additional translating, editing, or programming needed to utilize client-supplied files will be charged at our current rates. Online Bizness Group does not archive your work for longer than it takes to produce the final product. Please save your work!

13.0 Disputes & Venue

In the event that legal action is taken Online Bizness Group holds the right to “cease all work” on a project until resolve has been met; this circumstance is only valid if a project is still in any phase of development. In the event that legal action is taken after development has been completed, Online Bizness Group holds the right to suspend a website (and/or) app project from our hosting servers if the item in dispute involves the website and/or app, hosting, or marketing services directly related to the website and/or app. Online Bizness Group also holds the right to pause development of any project which enters ARBITRATION or charge-back status through any credit card merchant.

14.0 Right to Subcontract

Online Bizness Group is proud to employ talented, intelligent, and hard working tech experts. While all work is completed “in-house”, Online Bizness Group shall have the right to assign any portion of the work required to another contractor.

15.0 Workmanship Guarantee

In the event of bugs, Online Bizness Group will fix any website we have designed and developed provided it remains hosted on our servers. All warranties are nullified upon issuance of FTP access or transfer to a third party server unless otherwise specifically stated in the contract. Browser changes and updates that result in the website appearing differently than when initially launched is not subject to this workmanship guarantee. Furthermore, software updates published by third parties such as WordPress (and/or) any supporting plugins to make the website software operate, are not considered as a workmanship guarantee. These types of fixes and ongoing maintenance patches to the website are subject to additional charges.

For mobile applications (both iOS and Android) our workmanship guarantee is subject to the same above-stated conditions for a website. Additionally, the contract will specify the mobile device operating system version the app is being designed for. Typically, Apple and Android devices have an average of one major change each year that may require maintenance work in order for the mobile application to continue to operate with stability. These patches are subject to additional charges.

16.0 Privacy Statement

Any information Online Bizness Group collects from order processing or from any inquiries is not shared with any other company outside of Online Bizness Group or our sister companies / brands which may benefit you, the customer, with other service opportunities. Your information is only used for contact, billing, and shipping purposes. Your credit card information is only stored internally by Online Bizness Group within our internal system and on secure paper documents. Should a request be presented for information to not be issued to any sister company of Online Bizness Group, in writing, the request will be granted.

17.0 Samples

Online Bizness Group might use your product for samples or advertising purposes. Even in cases in which a website is “white labeled”, the agreement to these terms and conditions allow us to showcase your product as part of our work. Online Bizness Group holds the right for portfolio demonstration of any product we develop without consent from any client or party.

18.0 Billing

Your credit card bill will read “Online Bizness Group Ltd” which reference our company. Billing will be executed VIA the payment method initially provided on file unless specifically suggested otherwise in writing. Payment is due at development link in most circumstances but will always be paid VIA the statement issued in the signed contract. Some invoices may read “Development” as a service. This is a DBA (doing business as) brand by Online Bizness Group for alternatively structured maintenance agreements. The merchant account association is still linked to Online Bizness Group Ltd.

19.0 Changes

Online Bizness Group may change, modify, add or remove portions of this policy at any time, and any changes will become effective immediately upon being posted unless stated otherwise. This policy was last revised on May 22nd, 2020.
